BL Digital – Intellectual Property & License Agreement
To protect our work and ensure the integrity of our projects, this document outlines the legal terms regarding ownership, attribution, modification rights, and usage restrictions. These terms apply to:

✅ BL Digital’s proprietary frameworks & child themes
✅ Custom-coded snippets, Custom Post Types (CPTs), and unique functionalities
✅ SEO architecture, schema markup, and metadata
✅ Blog articles, case studies, and publicly published content
By using or taking over a website developed by BL Digital, the client and any third-party agency agree to these terms. Unauthorized modifications, attribution removal, or misuse of BL Digital’s intellectual property will result in legal action under Italian copyright law (Legge 633/1941, Article 64 and following) and international regulations.
Summary
1. Copyright & Intellectual Property Rights
All websites, frameworks, child themes, custom developments, and enhancements created by BL Digital are protected under Italian copyright law (Legge 633/1941, Article 64 and following) and international intellectual property laws.
Unless otherwise specified in a written agreement, BL Digital retains full ownership of the intellectual property, including but not limited to:
- The website architecture (structure, layout, and design principles).
- Any custom code, snippets, or functionalities implemented.
- Child themes, frameworks, and templates used in the project.
- Any Custom Post Types, custom taxonomies, or unique functionalities developed.
- SEO-optimized structure, metadata, and schema.org integrations.
The client is granted a non-exclusive, non-transferable license to use the website for commercial purposes, subject to the terms outlined below.
2. Removal or Modification of BL Digital Attribution
BL Digital branding (including but not limited to footer credits, meta-information, and author signatures) cannot be removed or altered unless the following conditions are met:
✅ Substantial Modification Requirement (70% Rule)
To remove or replace the “Designed & Developed by BL Digital” mention in the footer and other areas, the new agency or developer must modify at least 70% of the website’s architecture and design, including:
- Custom-coded elements & snippets
- Website structure & layout (not just theme replacement)
- Custom Post Types and taxonomies
- SEO structure, schema markup, and metadata
🚨 Simply switching themes (including the child theme) does NOT qualify as a substantial modification.
🚨 Merely changing colors, fonts, or content does NOT remove BL Digital’s copyright protection.
Removing BL Digital’s attribution without fulfilling this 70% transformation rule is a direct violation of copyright laws and will be subject to legal action.
3. Restrictions on Reuse, Redistribution & Resale
The following actions are strictly prohibited:
❌ Reselling or redistributing the website or its components without explicit written consent from BL Digital.
❌ Reusing custom snippets, functions, or design elements for other projects without authorization.
❌ Claiming authorship of the original framework, child theme, or underlying functionalities.
❌ Modifying BL Digital’s custom developments for resale or distribution.
Failure to comply with these restrictions may result in legal action under Italian copyright law and international IP protection treaties.
4. Rights Regarding Content & Publications
Any blog articles, case studies, technical documentation, or publicly published content created by Lila Hnat Benguedach, Quyen Phan Ngoc Phuong, Loïc Chossiere, or any other BL Digital collaborator are protected under Italian copyright law (Legge 633/1941, Article 64 and following) and international intellectual property regulations.
✅ Attribution Requirement
If an article, guest post, or case study references BL Digital or its collaborators as authors, the mention cannot be removed, altered, or reassigned without explicit approval from BL Digital.
✅ Ownership & Usage Rights
- All content produced by BL Digital and its collaborators remains the intellectual property of its respective author(s).
- Clients and third parties may reference and share BL Digital’s articles and case studies with proper attribution but cannot claim authorship or modify the original content.
- Republishing, translating, or using BL Digital’s content in external materials requires written permission.

❌ Republishing or using the content without crediting the original author.
❌ Modifying, rewriting, or distributing articles in ways that misrepresent the original authorship.
❌ Using BL Digital’s research, case studies, or strategies without proper attribution.
Legal enforcement: Any violation of these terms will be considered copyright infringement and may result in legal action under Italian and international copyright laws.

5. Portfolio & Public Display Rights
BL Digital reserves the right to:
✔️ Showcase the developed website in its portfolio, case studies, or promotional materials.
✔️ Publish before/after comparisons or performance improvements achieved through its SEO and design strategies.
✔️ Mention its contribution in professional directories, social media, and marketing campaigns.
Clients who wish to restrict their website from appearing in BL Digital’s portfolio must submit a written request before project completion.
6. Liability & Compliance
By continuing to use the website developed by BL Digital, the client and any third-party agency acknowledge and agree to these terms. Non-compliance with these provisions may result in legal action and penalties as per international copyright laws.
For any disputes, the applicable jurisdiction will be Rome, Italy, under Italian intellectual property law.
